Rostec to Sell 12% of Russian Helicopters Stock to RDIF, Arab Investors

ABU DHABI --- Russian state corporation Rostec has signed an agreement on selling 12% of the stock of its subsidiary Russian Helicopters to a consortium set up by the Russian Direct Investment Fund (RDIF) and Arab investors. The whole of the stock of Russian Helicopters was valued at $2.35 billion, Rostec Director General Sergei Chemezov told journalists.

"At first, we had the resolution by the executive and the supervisory boards, allowing the selling of up to 25% of the shares. We negotiated with a pool of investors - Arab ones and RDIF. At first, there was one number of investors. Then it diminished. This does not mean, however, that we have stopped [the process of selling 25% of Russian Helicopters’ shares]. We have moved on with the sale of 12% for now without waiting for the rest [of the investors to make up their mind]. According to assessments, $2.35 billion is the price of the 100% holding of Russian Helicopters’ shares," Chemezov said.

According to RDIF, the investment by its Middle East partners will enable Russian Helicopters to step up its work in the region.

"The investment by the consortium led by RDIF will enable the corporation to keep expanding into new markets. In particular, the investment of our Middle East partners will facilitate the activities of Russian Helicopters in the region. Russian Helicopters has a considerable growth potential and investment capabilities appealing to us and our partners," RDIF’s news release quotes RDIF Director General Kirill Dmitriyev as saying. -


Rostec and RDIF Attract Leading International Funds to Invest in Russian Helicopters

The Russian Direct Investment Fund (RDIF) has formed a consortium comprising leading Middle Eastern funds and finalized a deal to acquire a minority stake in Russian Helicopters (part of the Rostec State Corporation). Russian Helicopters valuation was estimated at $2.35 billion.

The transaction consists of two stages. The first stage involves the sale of a 12% stake and an investment of $300 million, as well as an agreed-upon subsequent potential increase in investment to $600 million. The deal will increase the authorized capital of the holding company. This will accumulate a significant amount of funds within the Company.

These funds are necessary for the implementation of the Company’s strategy and business plan, including the development of new types of helicopters. In addition, these funds will help implement the investment program of the holding company, as well as finance possible M&A activities aimed at increasing the holding’s value and finance capital programs.

Sergei Chemezov, CEO of the State Corporation Rostec, said: “Today we have agreed with the Russian Direct Investment Fund and Middle Eastern investors, on the final parameters of the deal and signed documents for the sale of a minority stake in Russian Helicopters, based on the valuation of the company at $2.35 billion.”

Russian Helicopters (part of State Corporation Rostec) is one of the global leaders in helicopter production and the only helicopter design and production powerhouse in Russia. Russian Helicopters was founded in 2007 and is headquartered in Moscow. The company comprises five helicopter production facilities, two design bureaus, a spare parts production and repair facility, as well as an aftersale service branch responsible for maintenance and repair in Russia and all over the world.

In 2015, its IFRS revenues increased 29.5% to RUB 220.0 billion. Deliveries reached 212 helicopters.
