Rockwell Collins Acquires Communication Solutions, Inc.

CEDAR RAPIDS, Iowa --- Rockwell Collins, Inc., a global leader in aviation communications and electronics, has acquired Communication Solutions, Inc. The $23 million acquisition, which is expected to be neutral to earnings in FY 2002, expands Rockwell Collins' extensive product portfolio for customers in the areas of signals intelligence (SIGINT) and surveillance solutions.
Founded in 1991, Communication Solutions, a privately owned company, is a leader in SIGINT technology, which is used worldwide in defense and security-related applications. The company develops and manufactures a broad portfolio of products under the COM-SOL brand. The Maryland-based company had approximately $16 million in revenues in 2001.
"This acquisition strengthens our Government Systems business, which represents 45 percent of our overall business and is continuing to grow," said Clay Jones, Rockwell Collins' president and CEO. "With the resources and synergies we expect as a result of this acquisition, Rockwell Collins will significantly enhance its electronic warfare and signals intelligence capabilities."
The business will now operate as Communication Solutions, a Rockwell Collins business. Its extensive product lines will be integrated with Rockwell Collins' existing portfolio of communication and electronic warfare solutions, including antennas, receivers and processors. The companies will combine their technology and operational resources to address an even broader range of global SIGINT applications.

"Communication Solutions is already well known by our military and government customers for excellence in SIGINT and surveillance technologies and has been focusing on growth in these areas through new product development. We anticipate technology, revenue and cost synergies that will benefit our core products and systems."
The acquired business unit will report into Rockwell Collins' Government Systems business unit and will be led by Bob Biller, current president of Communication Solutions. Communication Solutions will continue operating in White Marsh and Germantown, Md., and in Richardson, Texas.
